1. Purpose and application AMAYA Select is the customer-facing brand of AMAYA SEIZO (OPC) PRIVATE LIMITED (the "Company", "we", "us" or "our"), which operates and provides services under the AMAYA Select brand. These Interior Design & Home Renovation – Terms of Engagement ("Terms") set out the general terms under which the Company may provide interior design, renovation, home improvement, material supply, project coordination and related services to a customer ("Customer", "you" or "your").
These Terms are intended to be read together with the applicable project-specific quotation, proposal, Scope of Work, BOQ, work order, design approval, purchase order, invoice or other written document issued or accepted by AMAYA for the relevant project ("Project Documents").
These Terms do not by themselves constitute a commitment by AMAYA to undertake any particular project.
A project shall commence only after the applicable commercial and project documents have been accepted by the parties and any required booking or advance payment has been received.
2. Definitions For these Terms:
"Customer" means the person or entity engaging AMAYA Select for the relevant services.
"Project" means the interior design, renovation, home improvement or related work agreed between AMAYA and the Customer.
"Property" means the premises at which the Project is to be carried out.
"Scope of Work" means the specific services, products, materials, deliverables and exclusions identified in the applicable Project Documents.
"BOQ" means the applicable Bill of Quantities, estimate, quotation or equivalent project pricing document.
"Design" means drawings, layouts, concepts, visualizations, specifications, material selections or other design outputs prepared for the Project.
"Variation" means any addition, deletion, modification or change to the agreed Scope of Work.
"Project Documents" means the documents specifically applicable to the Project, including the quotation, BOQ, Scope of Work, approved designs, work orders, invoices and written variations.
3. Scope of services
3.1. AMAYA may provide one or more of the following services, depending on the Project Documents:
- Interior design;
- Space planning;
- Design consultation;
- Renovation planning;
- Material and finish selection;
- Tile and surface recommendations;
- Procurement or supply of agreed products;
- Civil work;
- Electrical work;
- Plumbing work;
- Painting and finishing;
- Carpentry;
- Furniture or fixture coordination;
- Installation;
- Project coordination; and
- Other services expressly identified in the Project Documents.
3.2. The exact services included in a Project shall be determined solely by the applicable Project Documents.
3.3. Any product, service, work or feature not expressly included in the applicable Scope of Work shall be treated as excluded unless subsequently agreed in writing.
3.4. Illustrations, mood boards, AI visualizations, preliminary concepts and other conceptual material are not by themselves confirmation that a product, feature or construction element is included in the Project.
4. Project proposal, quotation and scope
4.1. AMAYA may provide the Customer with an initial proposal, estimate or quotation based on the information reasonably available at the time.
4.2. An initial estimate may be subject to change following:
- Site inspection;
- Measurement;
- Design development;
- Material selection;
- Structural or technical assessment;
- Customer changes;
- Availability of products;
- Discovery of existing site conditions; or
- Other circumstances affecting the Scope of Work.
4.3. The final Scope of Work and commercial value shall be determined by the applicable approved Project Documents.
4.4. The Customer should review the applicable Project Documents carefully before approving the Project.
5. Site inspection and measurements
5.1. Where applicable, AMAYA may conduct a site inspection or measurement exercise before finalizing the Project.
5.2. Measurements obtained during preliminary discussions, customer submissions, photographs or AI visualization tools may be approximate and must not be treated as final construction measurements.
5.3. Final measurements required for execution shall be confirmed through the applicable Project process.
5.4. AMAYA shall not be responsible for inaccuracies resulting from information, measurements or photographs supplied by the Customer.
6. Customer responsibilities The Customer shall:
- Provide accurate and complete information relating to the Property;
- Provide reasonable access to the Property;
- Provide timely approvals and decisions;
- Inform AMAYA of known defects or site conditions;
- Obtain permissions that are specifically the Customer's responsibility;
- Ensure that the Property is legally available for the proposed work;
- Provide access to electricity, water and other utilities where reasonably required;
- Ensure that AMAYA and authorized contractors can access the Property during agreed working periods;
- Make payments when due;
- Cooperate with AMAYA and its authorized personnel; and
- Avoid unreasonable interference with workers, vendors or contractors engaged for the Project.
The Customer should promptly notify AMAYA of any material issue affecting the Project.
7. Property conditions and hidden conditions
7.1. Renovation work may uncover conditions that were not reasonably visible during initial inspection.
Examples may include:
- Hidden plumbing;
- Concealed electrical wiring;
- Structural deficiencies;
- Dampness;
- Water leakage;
- Uneven walls or floors;
- Existing termite damage;
- Weak substrates;
- Inadequate drainage;
- Concealed pipes;
- Previous defective construction; or
- Other concealed conditions.
7.2. Where such conditions materially affect the Scope of Work, AMAYA may recommend additional work or changes.
7.3. Additional work arising from concealed or unforeseen site conditions shall be subject to Customer approval and applicable commercial adjustment before execution, wherever reasonably practicable.
8. Design development and customer approval
8.1. AMAYA may provide design concepts, layouts, renders, drawings, material selections or other design outputs.
8.2. The Customer is responsible for reviewing and approving designs and selections before execution.
8.3. Once a design, material, layout or specification has been approved, subsequent changes may constitute a Variation.
8.4. Customer-requested changes after approval may affect:
- Project cost;
- Material requirements;
- Procurement;
- Manufacturing;
- Installation;
- Project schedule; and
- Completion date.
8.5. AMAYA shall not be responsible for consequences arising from delays in Customer approvals or decisions.
9. Ai-generated design visualizations
9.1. AMAYA may use AI-assisted design tools, including the AMAYA Select Design Visualizer, during the design process.
9.2. AI-generated images are conceptual visualizations only.
9.3. AI-generated images may differ from the actual Property or final Project with respect to:
- Dimensions;
- Proportions;
- Ceiling height;
- Windows;
- Doors;
- Furniture;
- Lighting;
- Materials;
- Colours;
- Flooring;
- Finishes;
- Product appearance; and
- Construction feasibility.
9.4. AI-generated visualizations shall not be treated as final construction drawings, technical specifications, measurements or guarantees of the completed Project.
9.5. Where there is any difference between an AI visualization and an approved technical drawing, BOQ, material specification or other Project Document, the applicable approved Project Document shall prevail.
9.6. The Customer should review the separate AI Design Disclaimer.
10. Materials and products
10.1. Products and materials shall be selected according to the applicable Project Documents.
10.2. Actual products may vary from photographs, renders, samples or digital representations due to:
- Screen display;
- Photography;
- Lighting;
- Manufacturing variation;
- Natural variation;
- Batch variation;
- Shade variation;
- Texture variation; and
- Product availability.
10.3. Tiles, stones, wood, laminates, fabrics, paints and other materials may naturally exhibit variations in shade, grain, texture, pattern or finish.
10.4. Product availability may change between design selection and procurement.
10.5. Where a specified product becomes unavailable, discontinued or commercially impractical to procure, AMAYA may propose an alternative of reasonably comparable characteristics, subject to the applicable Project process and Customer approval where required.
11. Third-party products and services
11.1. Certain products or services may be supplied, manufactured, installed or supported by third-party manufacturers, vendors, contractors or service providers.
11.2. Where applicable, third-party warranties shall be governed by the relevant manufacturer's or service provider's warranty terms.
11.3. AMAYA shall communicate applicable third-party warranty information to the Customer where reasonably available.
11.4. Nothing in these Terms shall exclude any rights or remedies that cannot lawfully be excluded under applicable law.
12. Pricing, taxes and payments
12.1. The applicable Project price, payment schedule and commercial terms shall be stated in the relevant Project Documents.
12.2. Applicable taxes, duties, levies or statutory charges shall be payable as required by applicable law and as specified in the relevant Project Documents.
12.3. AMAYA may require payment before commencing particular stages of work, procurement or manufacturing where specified in the Project Documents.
12.4. The Customer shall make payments in accordance with the agreed payment schedule.
12.5. AMAYA shall not be required to proceed with work, procurement or delivery where a payment that is contractually due remains unpaid, subject to applicable law and the Project Documents.
13. Variations and change requests
13.1. Any change requested by the Customer after approval of the Scope of Work may constitute a Variation.
13.2. Variations may affect:
- Project price;
- Material quantities;
- Procurement;
- Labour;
- Design;
- Manufacturing;
- Installation; and
- Project timelines.
13.3. Wherever reasonably practicable, AMAYA shall communicate the impact of a Variation before implementing it.
13.4. The Customer shall approve applicable Variations through the designated written process.
13.5. Verbal instructions should not be treated as final approval where AMAYA requires written confirmation.
14. Project timelines
14.1. Any Project completion date or timeline shall be based on the applicable Project Documents.
14.2. Unless expressly stated otherwise in writing, project timelines may be affected by:
- Customer approvals;
- Customer-requested changes;
- Delayed payments;
- Material availability;
- Manufacturing lead times;
- Site access;
- Building or society restrictions;
- Third-party vendors;
- Hidden site conditions;
- Government restrictions;
- Force majeure events; and
- Other circumstances beyond AMAYA's reasonable control.
14.3. AMAYA shall use reasonable efforts to communicate material delays affecting the Project.
15. Site access and working conditions
15.1. The Customer shall provide reasonable access to the Property for AMAYA and authorized personnel.
15.2. The Customer shall inform AMAYA of applicable:
- Building rules;
- Society rules;
- Working-hour restrictions;
- Lift restrictions;
- Parking restrictions;
- Material movement restrictions; and
- Other Property-specific requirements.
15.3. Delays or additional costs resulting from restrictions that were not disclosed to AMAYA may affect the Project schedule or commercial terms, subject to applicable law and Customer approval where required.
16. Contractors, vendors and workforce
16.1. AMAYA may engage employees, contractors, vendors, specialists or other service providers to perform elements of the Project.
16.2. AMAYA shall coordinate the relevant personnel according to the agreed Scope of Work.
16.3. The Customer shall not directly instruct workers engaged by AMAYA to undertake additional work outside the approved Scope of Work without coordinating with AMAYA.
16.4. The Customer shall not engage in abusive, threatening, discriminatory or unsafe conduct toward AMAYA personnel, contractors or vendors.
17. Quality, inspection and handover
17.1. AMAYA shall perform the agreed work in accordance with the applicable Scope of Work and Project Documents.
17.2. The Customer may inspect completed work in accordance with the agreed Project process.
17.3. Where applicable, identified snags or defects shall be recorded and addressed through the applicable handover or rectification process.
17.4. Handover documentation, where applicable, may include:
- Handover confirmation;
- Product information;
- Warranty information;
- Care instructions; and
- Outstanding snag information.
18. Warranty
18.1. Eligible modular kitchens, wardrobes, storage systems and other qualifying modular products supplied and installed by AMAYA Select and expressly identified as covered in the Project Documents or Warranty Documentation shall be covered by AMAYA Select's 10-year modular warranty, subject to the terms, conditions and exclusions set out in this Agreement and the applicable Warranty Documentation.
18.2. The 10-year warranty applies to eligible products and components expressly identified as covered and includes eligible manufacturing defects and eligible installation or workmanship defects in those covered modular products.
18.3. The warranty shall commence from the project handover date unless another commencement date is expressly stated in the applicable Project Documents or Warranty Documentation.
The Warranty Documentation shall clearly record the warranty start date, warranty end date, covered products, covered components and applicable exclusions.
18.4. Products supplied by third-party or OEM manufacturers—including appliances, sanitaryware, plumbing fixtures, electrical fixtures, switches, lights, home automation products, flooring, wallpaper, countertops, mirrors, glass and similar items—shall remain subject to the applicable manufacturer's warranty terms and conditions.
AMAYA may assist the Customer in communicating or coordinating warranty claims with manufacturers where reasonably appropriate, but does not guarantee the manufacturer's decision or outcome.
18.5. Unless expressly stated otherwise in the Warranty Documentation, the warranty does not cover damage or defects arising from:
- Normal wear and tear;
- Misuse, abuse or negligence;
- Accidental damage;
- Improper maintenance or cleaning;
- Unauthorized modification or repair;
- Third-party alterations or work;
- External seepage, water damage or dampness caused by building-related sources;
- Structural movement or civil or structural defects outside AMAYA's scope;
- Pest infestation, including termite damage unless expressly covered;
- Fire, flood, natural disasters or acts of God;
- Environmental conditions, excessive moisture or UV-related natural deterioration;
- Natural variation, colour variation, grain variation or ageing of materials;
- Damage caused by household animals or misuse by occupants;
- Products not expressly identified as covered; or
- Third-party or OEM products covered by their own manufacturer warranties.
18.6. Where a covered defect is established under the applicable warranty terms, AMAYA shall repair, rectify or replace the affected component or product, or provide another reasonable remedy consistent with the warranty terms and applicable law.
18.7. The applicable Warranty Documentation shall identify:
- Covered products;
- Covered components;
- Warranty commencement date;
- Warranty expiry date;
- Applicable exclusions;
- Applicable manufacturer warranties; and
- The warranty claim process.
Handover documentation, where applicable, may include warranty information, care instructions and product details for covered and third-party items.
18.8. The 10-year modular warranty does not automatically apply to painting, electrical work, plumbing work, civil work, demolition, false ceiling, flooring installation, wallpaper installation, general carpentry, masonry or other general site services unless separately and expressly documented in the applicable Project Documents or Warranty Documentation.
18.9. Warranty coverage is subject to reasonable customer responsibilities, including where applicable:
- Completion of applicable project payments;
- Execution of applicable handover documentation;
- Normal and proper domestic or residential use;
- Appropriate maintenance and use in accordance with supplied care instructions;
- No unauthorized modifications or repairs;
- Covered products remaining at the original installed location;
- Timely reporting of covered defects through the designated warranty channel;
- Providing reasonable access for inspection or rectification; and
- Compliance with the applicable Warranty Documentation.
18.10. Warranty claims shall be submitted to:

The Customer should provide the customer name, project reference or order number, project address, a description of the issue, photographs or videos where useful, and relevant warranty documentation where available.
AMAYA shall review the claim and, where necessary, arrange an inspection or service visit. If the issue is covered, AMAYA shall provide an appropriate remedy under the warranty terms. If the issue is not covered, AMAYA shall explain the reason and may, where commercially appropriate, offer a paid repair or service option.
18.11. Nothing in the warranty terms set out in this Section 18 shall exclude or limit any rights or remedies that cannot lawfully be excluded or limited under applicable Indian law.
19. Cancellation and termination
19.1. Cancellation or termination of a Project shall be governed by the applicable Project Documents and applicable law.
19.2. Where the Customer requests cancellation after AMAYA has incurred costs, committed resources, ordered materials, commenced manufacturing, engaged contractors or performed services, the commercial consequences shall be determined according to the applicable Project Documents and law.
19.3. AMAYA may suspend or terminate services where the Customer materially breaches the applicable Project Documents or these Terms, subject to applicable law.
19.4. Any termination shall not affect rights or obligations that accrued before termination.
20. Intellectual property
20.1. AMAYA retains ownership of its proprietary:
- Designs;
- Design systems;
- Templates;
- Processes;
- Website content;
- Brand assets;
- Software;
- AI workflows;
- Visualizer technology; and
- Other intellectual property,
except where ownership is expressly transferred in writing.
20.2. Customer-specific deliverables shall be subject to the rights and usage terms stated in the applicable Project Documents.
20.3. The Customer shall not reproduce, sell, commercially exploit or distribute AMAYA's proprietary design systems, templates or materials without written authorization.
21. Project photography and portfolio use Where AMAYA wishes to photograph or publish completed Project images for:
- Website;
- Portfolio;
- Social media;
- Marketing;
- Advertising;
- Case studies; or
- Other promotional purposes,
AMAYA shall obtain any consent required by applicable law or the applicable project agreement.
22. Customer-supplied materials and information
22.1. The Customer shall ensure that materials, designs, photographs, documents or other content supplied to AMAYA may lawfully be used for the Project.
22.2. The Customer shall not knowingly provide materials or instructions that infringe third-party intellectual property rights.
22.3. AMAYA may rely on information provided by the Customer where it is reasonably entitled to do so.
23. Compliance with building and property requirements The Customer shall be responsible for obtaining permissions that are expressly assigned to the Customer in the Project Documents, including where applicable:
- Society approvals;
- Landlord approvals;
- Building permissions;
- Access permissions; and
- Other Property-specific approvals.
AMAYA shall not be responsible for delays caused by failure to obtain approvals that are the Customer's responsibility.
24. Safety AMAYA expects all parties involved in the Project to maintain reasonable standards of workplace and site safety.
The Customer shall not knowingly interfere with safety procedures or require workers to undertake unsafe activities.
AMAYA may suspend work where reasonably necessary because of unsafe site conditions.
25. Force majeure Neither party shall be responsible for delay or failure to perform obligations to the extent caused by circumstances beyond reasonable control, including where applicable:
- Natural disasters;
- Flood;
- Fire;
- Earthquake;
- Epidemics or pandemics;
- War;
- Civil disturbance;
- Government restrictions;
- Strikes;
- Transport disruption;
- Major supply-chain disruption;
- Utility failure; or
- Other comparable events beyond reasonable control.
The affected party shall use reasonable efforts to mitigate the impact of such circumstances.
26. Limitation of liability To the maximum extent permitted by applicable law, AMAYA shall not be liable for indirect, incidental, special or consequential losses arising solely from circumstances beyond its reasonable control or from reliance on conceptual AI-generated visualizations.
Nothing in these Terms shall exclude or restrict liability that cannot lawfully be excluded or restricted.
Nothing in these Terms shall affect statutory consumer rights or other rights that cannot lawfully be waived.
27. Indemnification To the extent permitted by applicable law, the Customer may be responsible for losses, claims or costs arising from:
- Materially inaccurate information supplied by the Customer;
- Unauthorized instructions;
- Customer-supplied materials that infringe third-party rights;
- Unauthorized modifications to completed work; or
- Customer conduct that materially breaches the applicable Project Documents.
Any indemnification obligation shall apply only to the extent permitted by applicable law.
28. Dispute resolution The parties shall first attempt to resolve any Project-related dispute through good-faith discussion between their designated representatives.
Where appropriate, the parties may use mediation or another mutually agreed dispute-resolution mechanism before commencing formal proceedings.
Nothing in this clause prevents a Customer from exercising any statutory right or remedy that cannot lawfully be restricted.
The governing law and jurisdiction applicable to a specific Project should be stated in the relevant Project Documents.
29. Notices Formal notices relating to these Terms should be provided in writing through the contact details specified in the applicable Project Documents.

30. Entire agreement The applicable Project Documents, together with these Terms and any expressly incorporated AMAYA policies, constitute the framework governing the relevant Project.
If there is a conflict between these Terms and a Project-specific document, the Project-specific document shall prevail only to the extent of the specific conflict, provided that the Project-specific document expressly addresses the relevant matter.
31. Severability If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.
32. No waiver Failure or delay by AMAYA in exercising any right under these Terms shall not constitute a waiver of that right.
33. Assignment The Customer may not transfer or assign its contractual rights or obligations without AMAYA's prior written consent, except where such restriction is prohibited by applicable law.
AMAYA may assign or transfer its rights and obligations in connection with a business restructuring, merger, acquisition or transfer of the relevant business, subject to applicable law.
34. Changes to these terms AMAYA may update these Terms from time to time.
However, changes to these website-published Terms shall not automatically modify the commercial terms of an already accepted Project unless expressly agreed in accordance with the applicable Project Documents.
The version applicable to a Project should be identified in the relevant Project Documents.
35. Customer acknowledgement Before commencing a Project, the Customer should review:
- Scope of Work;
- BOQ / quotation;
- Design approvals;
- Material selections;
- Payment terms;
- Project timeline;
- Applicable warranty terms;
- Applicable exclusions; and
- These Terms.
The Customer should raise any questions or discrepancies before approving the Project.
